Kwon Jae-yeol chaired TF that drafted Commercial Act enforcement decree
Appointment comes ahead of 2027 launch of e-AGM management services
IRQdus, a firm specializing in investor relations and shareholder relations services, has appointed Kwon Jae-yeol, a professor at Kyung Hee University School of Law, as a legal adviser. The move is aimed at strengthening the company's legal advisory capacity for its electronic annual general meeting solutions ahead of the planned launch of e-AGM management services in 2027.
IRQdus said it held a formal appointment ceremony for Kwon on Thursday.
Kwon is a specialist in commercial law and capital markets law. He previously chaired the task force that drafted the enforcement decree of the Commercial Act during the act's revision process and has built expertise in electronic shareholder meetings. He has also served as dean of Kyung Hee University School of Law, president of the Korean Association of Commercial Case Studies, and chair of the Law School Admission Test question-setting committee under the Law School Council.
In his new role, Kwon will focus primarily on legal advisory work related to e-AGMs while also serving in a broader legal and external affairs capacity. Through the appointment, IRQdus plans to enhance the legal integrity and reliability of its e-AGM solution and help listed companies prepare for the mandatory introduction of electronic shareholder meetings.
IRQdus commercialized an integrated shareholder meeting management system in 2023 and now provides a full suite of AGM services covering electronic voting, electronic proxies, on-site electronic balloting and live streaming. During this year's regular AGM season, it provided hybrid and participatory e-AGM services to 88 listed companies, including Korea Zinc.
IRQdus is one of three domestic electronic voting management institutions and the only one supporting the entire shareholder meeting process. The company recently filed a preliminary review application with Korea Exchange for a Kosdaq listing, formally kicking off its initial public offering process. It is pursuing the listing under the special business model track and received an A rating from both independent evaluation agencies. DB Securities is the lead underwriter. The company plans to direct the proceeds from the listing toward research and development of its IR and shareholder relations digital platform and the advancement of its e-AGM solution.
"The addition of Adviser Kwon Jae-yeol, one of the foremost authorities on commercial law, has significantly strengthened the legal credibility of our e-AGM solution," said Lee Jong-seung, CEO of IRQdus. "As the full rollout of the system approaches in 2027, we will provide safe and proven systems and services so that listed companies can adopt and navigate electronic shareholder meetings without confusion."
